Subject to the limitations in Section 2, the Yield for each PEC for any Accrual Period or the Initial Accrual Period shall be an amount equal to the product of (i) a fraction, the numerator of which is the actual number of days in the Accrual Period (but no more than 365) and the denominator of which is 365, (ii) the Applicable Rate and (iii) Par Value of each PEC. Such amounts accrued at any time for all Accrual Periods since the Date of Issuance, whether or not declared, are herein called the Yield .
