Since then, Versatel has become a group company of Tele2 AB. In view of this major change in circumstances and given the composition of the Board of Supervisory Directors following the appointment of [betrokkene 12], Versatel feels that full compliance with provision III.6.2 of the Tabaksblat Code no longer serves a useful purpose in the event the discussion and/or decision-making relates to a proposed transaction with, or a subject relating to, a Tele2 entity. Hence, Versatel wishes to amend its corporate governance policy by limiting compliance with provision III.6.2 to conflicts of interest, which do not merely arise out of a transaction or other dealing with a Tele2 entity.
