“Article 5: With respect to the dividend, the parties have agreed the following: With regard to profit of Taxand Curacao, M&A, B&B, De Nieuwe Wereld and VMW Taxand agree that M&A and B&B will receive each 30% of the yearly net profit and De Nieuwe Wereld and VMW Taxand each 20% of the yearly net profit. In case the yearly net revenue exceeds an amount of Euro 1 mio, the profit share will be set at one third for De Nieuwe Wereld and VMW Taxand each and from the beginning of that fiscal year and 1/6 for M&A and 1/6 B&B with respect to the amount in excess of Euro 1 mio as agreed in the LOI of September 9, 2010. The LOI is attached as attachment 5. M&A and B&B will however receive each a minimum monthly fee of ANG. 12.500,-- as prepayment for the profit share and each a monthly fee of ANG. 2.500 as remuneration for being managing director. These amounts may be increased through either indexation and/or if the profit of Taxand allows for a higher minimum monthly fee. Net revenue is to be defined as gross revenue minus fee adjustments.”
