Een Structure Memorandum maakt deel uit van de financieringsdocumentatie ( [AmA] , schedule 2, Part 1A, artikel 4, letter d). Structure Memorandum is volgens de [AmA] gedefinieerd als: ‘the steps paper entitled “Project [O] : Tax Structure Memorandum” to be dated on or about the Closing Date describing the Group and the Acquisition and prepared by [As] Belastingadviseurs BV in the agreed form and addressed to, and/or capable of being relied upon by, the Arranger and the other Secured Parties.’ Dit Structure Memorandum heeft eiseres niet overgelegd. In plaats daarvan is op 30 december 2013 een door [As] opgestelde samenvatting overgelegd.
