1.5. Bij brief van 21 februari 2008, door partijen aangeduid als de retentiebrief, heeft Fortis aan [X], die als een van de ‘key talents’ van de bank werd aangeduid, het volgende bericht: ‘Following the acquisition of ABN AMRO at the end of 2007, Fortis is actively preparing the integration of the related ABN AMRO activities. Fortis desires to achieve this integration with the full commitment and engagement of the key talents operating currently within ABN AMRO. We foresee that this integration during which you will be seconded into Fortis, will last between 12 months and 24 months during which you are entitled to receive as retention package, guaranteed bonuses of 645000 € for 2008 and 2009 paid before the end of the first quarter of the following year. Furthermore, we are very pleased to inform you that after the integration period, Fortis intends to offer you a position the level of which will be equivalent to the level of responsibilities and/or tasks you currently exercise. In case of agreement on the position offered by Fortis, you will receive a welcome award of 645000 € paid in 3 equal installments (first installment paid at the end of the integration period, 2 nd installment 12 months later, third installment 12 months later). This welcome award will be paid independently from your annual incentive. If Fortis is not able to offer you a position equivalent to the level of responsibilities you currently exercise, you will not receive the welcome award but the equivalent as a one shot retention award and we hereby guarantee that you will benefit from the so called “vrijstellingsregeling” that [Y] has dealt with you. We are confident that, during the upcoming year, thanks to your experience, expertise and continuing commitment in your role you will make the integration a success.’ ABN AMRO heeft nadien verklaard zich aan de toezeggingen in deze retentiebrief van Fortis gebonden te achten.
